Course Description

Commercial and Company Law II builds on the principles introduced in Commercial and Company Law I by examining the operation, management, and regulation of companies in greater depth. The course focuses on corporate governance, directors' duties, shareholder rights and remedies, corporate finance, maintenance of capital, and company meetings. Students also study minority shareholder protection, corporate insolvency, liquidation, and the legal consequences of winding up a company. Through the analysis of statutory provisions and leading case law, the course develops students' understanding of the legal issues arising throughout a company's life cycle and strengthens their ability to apply company law principles in practice.
